Job DescriptionThe Allstate Corporation is seeking an experienced Project Management Senior Consultant II to join our Corporate Governance team. This position will play a critical role in maintaining Allstate’s domestic and international subsidiary entities and supporting a variety of corporate governance initiatives. The ideal candidate brings 10+ years of corporate governance or entity management experience, and will be motivated, proactive, highly organized and detail oriented. Key ResponsibilitiesManage Allstate’s legal entity structure, including formation, mergers, dissolutions, and state and other local legal regulatory requirements.

Draft and review subsidiary governance documents such as bylaws, operating agreements, meeting minutes, written consents, and annual reports. Complete licensing and regulatory filings with state and insurance authorities.

Maintain legal entity records and utilize Allstate’s global entity management system. Document intercompany transactions, including reorganizations, dividends, and liquidations. Develop templates, tools, and resources to enhance entity management processes.

Conduct legal research and resolve governance issues of varying complexity. Administer technology platforms (Diligent, SharePoint, Workiva) to support timely and accurate governance documentation. Contribute to the preparation of proxy statements and ensure compliance with SEC (Securities and Exchange Commission) and NYSE (New York Stock Exchange) corporate governance requirementsPartner with cross-functional teams to support M&A (Mergers and Acquisitions) transactions, entity integration and rationalization, and other key projects.

Contribute to the preparation of proxy statements and ensure compliance with SEC and NYSE corporate governance requirements. Education & ExperienceBachelor’s degree10+ years of paralegal or corporate governance experience, with 3+ years in entity management at a law firm and/or U.

S. publicly traded company (preferred). Skills and Additional ExperienceStrong analytical, research, and organizational skills.

Meticulous attention to detail and proofreading abilities. Proven project management and time management skills. Collaborative and adaptable approach to teamwork.

Excellent written and verbal communication skills is a must, with the ability to communicate clearly and confidently with executives. Proven ability to work independently and collaboratively in a matrixed environment, building strong relationships across teams. A calm head and steady hand to deal with the unexpected.

Advanced proficiency in Microsoft Office (Word, Excel, PowerPoint, Teams, Outlook, SharePoint). Experience with Diligent and global entity management systems. Curiosity and openness to leveraging emerging technologies (including AI) to drive innovation.
